2. Acceptance of Terms
By accessing or using PayMoi, you agree to be bound by these T&Cs. If you do not agree to these T&Cs, you may not use the service. We reserve the right to update or modify these T&Cs at any time without prior notice. Continued use of the service after any such modifications constitutes your consent to the updated terms.
3. Scope of Services
PayMoi provides online invoicing services to individuals and businesses, allowing them to create, manage, and send invoices. Additional features may include reporting, integration with third-party applications, and customizable invoicing templates. We are constantly evolving, and additional services or features may be introduced or modified.
4. Account Creation and Access
4.1 Registration
To use PayMoi, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
4.2 Account Downgrading
If payments for our services are not made within the time frame specified (see Section 7), your account may be downgraded to a free or restricted version, losing access to paid features until the payment is completed.
5. Subscription Terms
5.1 Subscription Model
PayMoi operates on a subscription basis, allowing users to access various features and levels of service. By subscribing, you agree to pay the applicable fees according to the subscription plan selected.
5.2 Non-Cancellation Policy
Once you subscribe to a PayMoi plan, you cannot cancel or downgrade your subscription until the next billing cycle. This policy ensures uninterrupted access to our services for the full duration of the subscription term. Cancellation requests or downgrades can only take effect at the end of the current billing cycle.
5.3 Early Termination Exception
An exception to the non-cancellation policy applies only if PayMoi is unable to provide the services due to severe errors directly attributable to PayMoi. In such cases, you may request a review of your subscription and a potential termination.
6. Subscription Renewal and Billing
6.1 Automatic Renewal
Subscriptions will automatically renew at the end of the subscription term unless you provide notice of cancellation one month prior to the renewal date. You are responsible for ensuring your payment details are up to date.
6.2 Downgrading After Non-Payment
If payment is not received by the renewal date or within 20 days after receiving your invoice and access, your account will be downgraded to a free or restricted version. Access to certain premium features will be revoked until payment is made.
7. Payment Terms
7.1 Payment Deadline
Payment for our services is required within 20 days of receiving your invoice and access to the system. Failure to pay within this period will result in automatic downgrading (see Section 6.2).
7.2 Payment Methods
We accept payments via bank transfer or other authorized payment methods as indicated on the invoice. Any payment fees, including bank fees or currency conversion fees, are your responsibility.
7.3 Late Payment Penalties
If payment is not made by the specified due date, PayMoi reserves the right to charge interest on overdue amounts in accordance with applicable law, as well as an administrative fee for reactivating your account.
8. Service Availability and Maintenance
8.1 Uptime
PayMoi aims to provide 99.9% uptime for the service. However, we cannot guarantee uninterrupted access due to factors beyond our control (e.g., server downtime, third-party service disruptions).
8.2 Scheduled Maintenance
We reserve the right to carry out scheduled maintenance, during which services may be temporarily unavailable. Where possible, we will inform you in advance of any planned downtime.
9. User Responsibilities
9.1 Compliance with Laws
You are responsible for ensuring that your use of PayMoi complies with all applicable laws and regulations. You must not use our services to send illegal or fraudulent invoices or engage in any unlawful activity.
9.2 Accuracy of Information
You are responsible for the accuracy of all data and information submitted to PayMoi, including billing details and invoice content.
10. Data Privacy and Security
PayMoi is committed to protecting your personal data. Please refer to our Privacy Policy for details on how we collect, use, and store your information. While we implement reasonable security measures to safeguard your data, we cannot guarantee complete security from unauthorized access or breaches.
11. Limitation of Liability
11.1 Exclusion of Warranties
PayMoi is provided on an “as is” and “as available” basis without any warranties or guarantees, either express or implied. We do not guarantee that the services will meet your specific needs or expectations.
11.2 Limitation of Liability
To the maximum extent permitted by law, PayMoi and its affiliates, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, resulting from the use or inability to use our services.
11.3 Limitation of Damages
Our total liability for any claims arising from the use of PayMoi shall not exceed the amount paid by you for the last paid subscription prior to the claim.
12. Indemnification
You agree to indemnify and hold harmless PayMoi, its officers, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the services, your violation of these T&Cs, or your infringement of any third-party rights.
13. Intellectual Property
PayMoi retains all rights, title, and interest in and to the services, including any intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the services during your subscription term. You may not copy, modify, distribute, or reverse-engineer any part of PayMoi without our prior written consent.
14. Termination
14.1 Termination by PayMoi
We reserve the right to terminate or suspend your account for any breach of these T&Cs, including but not limited to non-payment, misuse of services, or illegal activities.
14.2 Termination by User
You may terminate your subscription prior to the end of your current billing cycle by providing written notice one month ahead of renewal. Upon termination, you will lose access to the services, and any data associated with your account may be deleted. Before deletion you will be notified and will have 21 days to export the data.
15. Governing Law
These T&Cs shall be governed by and construed in accordance with the laws of Tunisia, without regard to its conflict of law provisions. Any disputes arising from these T&Cs will be subject to the exclusive jurisdiction of the courts of Tunisia.
16. Amendments
PayMoi reserves the right to modify or amend these T&Cs at any time. Changes will take effect upon posting on our website or other communication channels. It is your responsibility to review the T&Cs periodically.
